*** Ce contenu n’est disponible qu’en anglais ***<\/p>\nProceeds from the mining of certain minerals in the Democratic Republic of Congo (the \u201cDRC\u201d) and countries adjoining it have been linked to\u00a0violations of human rights through the funding of illegal armed groups. In\u00a0accordance with the Dodd-Frank Wall Street Reform and Consumer Protection Act\u00a0(the \u201cDodd-Frank Act\u201d), the United States Securities and Exchange\u00a0Commission (the \u201cSEC\u201d) requires publicly traded companies to report on the\u00a0origin of these conflict minerals.\n\nThis policy is consistent with the Code of Business Conduct and Ethics which clearly states the strong commitment to ethical business principles by Prolex Electronics Incorporated<\/strong> (\u201cPROLEX<\/strong>\u201d).\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

Conflict Minerals:\u00a0<\/strong>Refers to columbite-tantalite (coltan), cassiterite, gold, wolframite,\u00a0<\/span>or their derivatives; or any other mineral or its derivatives determined by the\u00a0<\/span>Secretary of State to be financing conflict in the Democratic Republic of the\u00a0<\/span>Congo or an adjoining country. Tantalum, tin, tungsten and gold are the widely\u00a0<\/span>accepted derivative metals to be of interest at present and are the current\u00a0<\/span>focus of the EICC-GeSI conflict free smelter certification program.<\/span><\/p>\r\n

DRC Adjoining Countries: <\/strong>Are countries that share an internationally recognized border with the\u00a0<\/span>Democratic Republic of the Congo. The following countries are currently\u00a0<\/span>recognized as \u201cadjoining countries\u201d: Angola,\u00a0<\/span>Burundi, Central African Republic, Congo Republic (a different nation than\u00a0<\/span>DRC), Rwanda, South Sudan, Uganda and Zambia.<\/span><\/p>\r\n

DRC Conflict Free:\u00a0<\/strong>As defined in Section 1502 of the Dodd-Frank Act, \u201ca product may be labelled as \u2018DRC conflict free\u2019 if the\u00a0<\/span>product does not contain conflict minerals that directly or indirectly finance\u00a0<\/span>or benefit armed groups in the Democratic Republic of Congo or an adjoining\u00a0<\/span>country.\u201d<\/span>
<\/span><\/p>\r\n

Conflict minerals obtained from recycled or scrap\u00a0<\/strong>sources:\u00a0<\/strong>Conflict minerals obtained from recycled metals are\u00a0<\/span>reclaimed end-user or post-consumer products or scrap processed metals created\u00a0<\/span>during product manufacturing. Recycled metals include excess, obsolete,\u00a0<\/span>defective and scrap metal materials containing refined or processed metals that\u00a0<\/span>are appropriate to recycle in the production of tin, tungsten, tantalum or\u00a0<\/span>gold. Minerals partially processed, unprocessed or a bi-product from another\u00a0<\/span>ore are not included in this definition.<\/span>

Policy<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

PROLEX<\/strong>\u00a0is committed to conducting its business operations in a manner that complies with applicable laws and regulations regarding conflict minerals by:<\/p>\r\n

    \r\n
  • Informing direct suppliers about this Conflict Minerals Policy and its relationship to the company\u2019s Supplier\u00a0Code of Conduct.<\/li>\r\n
  • Working with its\u00a0direct suppliers and sub-suppliers to understand the chain of custody for\u00a0conflict minerals at least to the smelter or refiner level.<\/li>\r\n
  • Taking measures to source parts and components from its\u00a0direct suppliers and sub-suppliers that are DRC conflict-free. These measures
    may include adopting, disseminating and incorporating this policy in related\u00a0purchase orders, contracts and other appropriate agreements with suppliers.<\/li>\r\n
  • Encouraging direct suppliers to track and improve their\u00a0performance in sourcing minerals from their suppliers and sub-suppliers that
    are validated as being DRC conflict-free in accordance with a national or\u00a0internationally recognized due diligence framework.<\/li>\r\n<\/ul>\r\n

    PROLEX encourages its suppliers to:<\/strong><\/p>\r\n

      \r\n
    • \u00a0Assist\u00a0PROLEX<\/strong>\u00a0in complying with the SEC regulations and any other applicable regulations related to conflict minerals and provide all necessary declarations.<\/li>\r\n
    • \u00a0Undertake reasonable due diligence within their supply chain to determine the chain of custody and origin of the conflict minerals. Due diligence includes developing policies and management systems to use DRC conflict free minerals, including making these requirements apply to their direct suppliers and sub-tier suppliers and requiring them to do the same with lower tiers of suppliers.<\/li>\r\n
    • Take measures to purchase parts, components or materials from their direct suppliers and sub-tier suppliers who source minerals for their products from smelters or refiners validated as being DRC conflict free in accordance with a nationally or internationally recognized due diligence framework.<\/li>\r\n
    • Comply with information requests on the source and origin of conflict minerals in the parts, components or materials provided to\u00a0PROLEX<\/strong>. Chain of custody data shall be maintained for five years and be provided to\u00a0PROLEX<\/strong>\u00a0upon request.<\/li>\r\n
    • Maintain records that document\u00a0PROLEX<\/strong>\u2019s compliance with applicable laws and regulations regarding conflicts minerals, including those related to conflicts minerals due diligence, for a period of no less than five years.<\/li>\r\n<\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

      COMPLIANCE<\/h2>\r\nThis policy applies to\u00a0PROLEX<\/strong>\u2019s business operations. Employees whose responsibilities relate to the supply or sourcing of parts, components and materials should be informed and are expected to comply with these requirements and associated legislation or regulation.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t

      NON-COMPLIANCE<\/h2>\r\n

      PROLEX<\/strong>\u00a0will work with its suppliers to seek remedies for non-compliance with this policy.
